These Terms & Conditions constitute a legally binding agreement between you and Koi ("we", "us", or "our"). By downloading, installing, or using the Koi app (the "App"), you agree to be bound by these terms. If you do not agree, please do not use the App.
About Koi
Koi is a personal habit tracking and wellness app designed to help you build positive habits, track goals, practice mindfulness through meditation and breathing exercises, and reflect on your journey.
Use of the App
The App is provided for your personal, non-commercial use. You agree to use the App only for lawful purposes. You must be at least 13 years old to use the App. If you are under 18, you should review these terms with a parent or guardian.
Subscriptions & In-App Purchases
Some features require a paid subscription. Subscriptions are offered exclusively through the Apple App Store and Google Play Store. All payments are processed by Apple or Google, not by us directly. We do not receive or store your payment card details.
Subscriptions automatically renew unless cancelled at least 24 hours before the current period ends. If you cancel, you retain access until the end of your current billing period. Payment is charged to your App Store or Google Play account at confirmation of purchase. Subscriptions are managed through your platform's account settings. Refund requests must be directed to Apple or Google, as applicable.
Local Data Storage
The majority of data you enter into Koi is stored locally on your device. A small amount of data is stored on our servers to enable social features (friends, invites, and vibes). You are responsible for backing up your device if you wish to preserve your local data. We are not responsible for any data loss that may occur from device failure, app deletion, or any other cause.
This includes text entries, images, and voice notes you add to reflections and goal journals.
Media Permissions
If you choose to use reflection or goal journal media features, the App may request camera and microphone access to capture photos and voice notes, and photo library access to attach existing images.
You are responsible for the content you create and for ensuring you have permission to record or upload it.
Location & Solar Time Features
Some features in Koi, including Solar Time which uses local sunrise and sunset times to shape your in-app experience, require access to your device's location.
By granting location permission, you allow Koi to read your device's geographic coordinates while the app is in use, solely to calculate sun position on-device. This data is never transmitted to any server or shared with third parties.
Location access is optional. If you choose not to grant it, or revoke it later in your device settings, Solar Time features may be unavailable or fall back to a default experience. This does not affect any other part of the app.
You can manage this permission at any time via your device's Settings under Privacy & Security, Location Services, then Koi.
Health & Wellness Disclaimer
Koi provides general wellness tools including habit tracking, meditation timers, and breathing exercises. These features are for informational and general wellness purposes only. They are not medical devices and are not intended to diagnose, treat, cure, or prevent any disease or medical condition. They are not a substitute for professional medical advice, diagnosis, treatment, or therapy.
If you have any health concerns or conditions, consult a qualified healthcare provider before using the meditation, breathing, or other wellness features. Do not disregard professional medical advice or delay seeking it because of something you have experienced in this App. You use the wellness features entirely at your own risk. If you experience any adverse effects, discontinue use immediately and consult a healthcare professional.
The App does not provide emergency services. If you are in crisis or experiencing a medical emergency, contact your local emergency services immediately.
Friends
You can add friends using friend codes or by scanning QR codes.
Your profile (display name, koi variant, accessories) is visible to other users who look up your friend code. You may remove a friend at any time, which removes the connection for both users.
Invites & Referrals
You can create invite codes that include a gifted koi for the recipient. You may have up to 3 pending invite codes at a time. Unredeemed codes expire after 7 days.
Redeeming an invite adds the inviter as a friend and delivers the gifted koi. Referral rewards are earned as friends redeem your invites.
Rewards are non-transferable and cannot be exchanged for real-world currency.
Vibes
Vibes are one-way emoji reactions you can send to friends. Vibes are marked as read when the recipient opens their inbox. You can only send vibes to your friends.
Acceptable Use
Do not abuse the friend or invite systems (e.g. creating multiple accounts to farm rewards). Do not use QR codes or links to harass, spam, or impersonate others. Violation of these terms may result in account suspension or deletion.
Third-Party Services
The App uses the following third-party services to operate. By using the App, you acknowledge and agree to the applicable terms and privacy policies of these providers:
- Supabase: data hosting for social features and promotional offer abuse prevention
- Sentry: error tracking and crash reporting
- PostHog: product analytics, hosted in the United States
- Firebase Cloud Messaging (Google): delivers push notifications for social features such as friend vibes and koi gifts
- RevenueCat: subscription and purchase management
- AppsFlyer: measures the performance of our mobile ad campaigns
- Meta: measures the performance of ads we run on Facebook and Instagram
We are not responsible for the practices or policies of these third-party services. We encourage you to review their respective privacy policies.
Intellectual Property
All content, design, graphics, and other materials in the App are owned by us or our licensors and are protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the App.
Disclaimer of Warranties
The App is provided "as is" without warranties of any kind, either express or implied. We do not guarantee that the App will be error-free, uninterrupted, or free of harmful components.
Limitation of Liability
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, including but not limited to loss of data, loss of profits, or personal injury.
Indemnification
You agree to indemnify, defend, and hold harmless Koi and its developers, officers, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of or access to the App; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any content you create, upload, or share through the App.
App Store Terms
The following terms apply when you download the App from Apple's App Store or Google Play:
- These Terms are between you and Koi, not Apple. Koi, not Apple, is solely responsible for the App and its content
- Apple has no obligation to provide maintenance or support for the App
- In the event of any failure of the App to conform to applicable warranties, you may notify Apple for a refund of the purchase price (if any). Apple has no other warranty obligation with respect to the App
- Apple is not responsible for addressing any claims relating to the App, including product liability claims, consumer protection claims, or intellectual property infringement claims
- Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance, Apple will have the right to enforce these Terms against you
If you download the App from Google Play, Google Play's Terms of Service apply in addition to these Terms.
In the event of a conflict between these Terms and the applicable app store terms, the app store terms shall prevail to the extent of the conflict.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue resolution through the courts of New Zealand.
Nothing in this section prevents you from filing a complaint with your local consumer protection authority or exercising any rights you have under mandatory local consumer protection laws.
Account Deletion
You may delete your account at any time from within the app. Deletion is immediate and permanent.
All server-side data (profile, friends, invites, vibes) is permanently removed. Uninstalling the app permanently deletes all local data. You may create a new account afterwards, but no previous data will be restored.
Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Koi regarding the use of the App. These Terms supersede any prior agreements or communications between you and Koi regarding the App.
Changes
We may update these terms from time to time. We will not reduce your rights under these Terms without your explicit consent. If changes are significant, we will update the "Last updated" date above. Continued use of the App after changes constitutes acceptance of the new terms.
